Applicable Law
You agree that these Terms and Conditions of Use, and any disputes arising from your use of the Site or your relationship with Yafai Enterprise LLC or its affiliates, shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of laws principles.
Severability
If any provision of this Agreement is determined by a court of competent jurisdiction to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of this Agreement shall remain in full force and effect.
Waiver
The failure of Yafai Enterprise LLC to exercise or enforce any right or provision of this Agreement shall not be deemed a waiver of such right or provision. Any waiver of any term of this Agreement must be made in writing and signed by an authorized representative of Yafai Enterprise LLC.
Termination
Yafai Enterprise LLC may terminate this Agreement at any time, with or without notice, and for any reason. Yafai also reserves the right, at its sole discretion and from time to time, to modify, suspend, or discontinue, temporarily or permanently, the Site or any service offered through the Site (or any part thereof), with or without notice. You agree that Yafai shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Site or any services provided through the Site.
Relationship of the Parties
Nothing in this Agreement or your use of the Site shall be construed to create a partnership, joint venture, employment relationship, or agency relationship between you and Yafai Enterprise LLC, nor shall either party represent itself as such. Neither party has the authority to incur, assume, or create, whether in writing or otherwise, any warranty, liability, or other obligation, express or implied, on behalf of the other party. Both parties acknowledge and agree that they remain independent contractors, each responsible for it own actions.
Entire Agreement
This Terms of Use Agreement constitutes the entire agreement between you and Yafai Enterprise LLC regarding your use of the Site and supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written, concerning the subject matter herein. You may also be subject to additional terms, policies (including, but not limited to, the Privacy Policy), guidelines, or rules that apply when you use the Site.
Yafai Enterprise LLC may revise these Terms of Use at any time by updating this Agreement and posting the revised version on the Site. You should review the Terms of Use periodically to stay informed of any changes.
